Vidley Digital Terms and Conditions
By submitting your order to Vidley Digital, you ("Client") acknowledge and agree to the following Terms and Conditions:
1. Services Provided
Vidley Digital will provide digitization services for the video footage submitted by the Client. We transfer the tapes as they were recorded without any editing, reformatting, or enhancement. The footage will be transferred exactly as it appears on the original media. The Client acknowledges that there may be blue spots or other imperfections between tapes, especially if the footage was recorded straight through. Any additional services, such as editing or format conversion, are not included.
2. Payment
The Client agrees to pay the total amount for services in full upon completion of the digitization process. The Client will not receive the final videos or access to their digital files until the invoice is paid in full. Additional charges, including but not limited to USB drives, hard drives, or extra shipping, will be added to the invoice and must be settled before final delivery.
3. Delivery
Vidley Digital will deliver the digitized video files via the selected method (e.g., USB drive, external hard drive, YouTube, or digital download). communication will be maintained throughout the process, and the Client will receive both original and digitized formats, as applicable.
4. Shipping and Responsibility
Once the Client submits their original media (e.g., tapes) for digitization, it is the Client’s responsibility to securely package all materials. Vidley Digital is not liable for any damage, loss, or issues that occur during shipping. While Vidley Digital will take precautions to protect the materials when returning them, we are not responsible for any damages, loss, or delays caused by mail carriers.
5. Client Responsibilities
The Client must provide original video footage in a format acceptable to Vidley Digital and ensure it is properly labeled and organized before submission.
6. Additional Services and Payment Terms
Any additional services or changes to the order will be charged separately. The Client will receive an updated invoice reflecting these charges, which must be paid within 15 days of receipt.
7. Limitation of Liability
Vidley Digital takes precautions to handle and digitize footage safely, but the Client acknowledges inherent risks, including potential damage to the original footage. Vidley Digital is not liable for any loss, damage, or destruction of the original media, nor for any direct, indirect, incidental, or consequential damages.
8. Indemnification
The Client agrees to indemnify Vidley Digital and its affiliates from any claims, damages, losses, or expenses arising from the use of the services, including legal costs.
9. Confidentiality
Vidley Digital agrees to maintain the confidentiality of the Client’s footage and any personal information shared during the process.
10. Prohibition of Illegal Material
Vidley Digital does not accept illegal content, including copyrighted material without permission. The Client guarantees that all submitted material is lawful and does not infringe upon third-party rights.
11. Right to Termination
Vidley Digital reserves the right to terminate the services if illegal material is discovered. In the event of termination due to this, the Client must pay for all services rendered up to that point.
12. Governing Law
This Agreement will be governed by the laws of the State of Florida.
13. Copyright Law
Vidley Digital provides digitization services for personal and authorized use only. By submitting media to Vidley Digital, the customer represents and warrants that they are the rightful owner of the media and/or have full legal authorization to request its duplication or conversion.
Vidley Digital does not monitor, review, or screen the content of any media submitted and cannot determine whether materials are protected by copyright. The customer assumes full responsibility for ensuring that no laws are violated through the digitization of their media.
The customer agrees to indemnify, defend, and hold harmless Vidley Digital, its owners, and its employees from any and all claims, damages, liabilities, costs, or expenses (including attorney’s fees) arising out of or related to the digitization of copyrighted or unauthorized material provided by the customer.
14. Disclaimer Notice
While Vidley Digital strives to protect and preserve your memories, you acknowledge that there are risks associated with digitizing old or fragile media, such as VHS tapes. Vidley Digital is not liable for damages, loss, or deterioration that may occur during the process. By using our service, the Client accepts these risks.
15. Entire Agreement
This document constitutes the entire understanding between Vidley Digital and the Client, superseding all prior agreements or understandings.
By submitting your order to Vidley Digital, you acknowledge and accept these Terms and Conditions, including the disclaimer regarding shipping and handling risks.
General Disclaimer
Vidley Digital Disclaimers
All media submitted to Vidley Digital is handled with care using professional equipment and proper precautions. However, many formats naturally degrade over time and may already contain defects such as fading, distortion, physical damage, or data corruption. These pre-existing issues can impact the quality or completeness of the final digital version. By placing an order, you acknowledge these risks and agree that Vidley Digital is not responsible for any defects, loss of quality, or unrecoverable content caused by the original condition of your media.
Slides & Negatives
Prone to scratches, fading, discoloration, and warping.
Film Reels
Often brittle with possible tears, mold, kinks, or breaks.
VHS Tapes
May have tracking issues, static, dropouts, or magnetic deterioration.
DVDs
Scratches, disc rot, or unreadable/corrupted data may prevent full transfer.
Cassette Tapes (Audio)
Stretched or broken tape can cause audio warping, fading, or dropouts.
SD Cards
Corrupted sectors, deleted files, or unreadable data may limit recovery.
MiniDV Tapes
Susceptible to pixelation, glitches, and playback dropouts.
